Terms of Use

The Climate Boot Camp (the “Event”) is produced by the Harvard Alumni for the Climate and Environment Corp., a Massachusetts non-profit corporation, with a business address of 67 Oak Street, Unit 2, Somerville, MA 02143, USA (“HACE”), and The Alliance for Climate Protection d/b/a The Climate Reality Project, a Washington, D.C. nonprofit corporation with a business address of 555 11th Street, NW, Suite 601, Washington, DC 20004, USA (“Climate Reality”) (collectively, “we”, “us”, and “our”). The digital event web platform and eWorkbook digital infrastructure (collectively the “Platform”) functionality is kindly licensed to us from Glinter LLC, a Delaware limited liability corporation (“Glinter”).

Consent

While visiting or accessing the Platform, participating in the Climate Boot Camp or otherwise participating in the Event including without limitation in sessions hosted on Zoom Video Communications, Inc. (“Zoom”), you agree to abide by these Terms of Use, and our Privacy Policy [https://www.climatebootcamp.com/copy-of-terms-and-conditions]. By accessing the Zoom sessions, you will consent to Zoom’s Terms of Service, Privacy Policy, and associated policies which can be found here: https://explore.zoom.us/trust/legal-compliance. U.S. residents must be at least 13 years of age to log in to the Climate Boot Camp, and residents of any other nation must be at least 16 years old. If you are under the age listed above in your country, your parent must provide consent on your behalf. We retain full right to modify these Terms of Use based on our discretion, and we will denote the modification with a “Last Updated” date at the top. If you do not agree to any of the terms herein, please do not participate in the Platform.

Log-In Credential Deactivation

If you have logged in but no longer wish to continue to access the Platform, you may ask us to deactivate your account via email to Climate Reality at contracts@climatereality.com and to HACE at hace.sig@gmail.com. Users do not accrue value on the Platform under their log-in credentials and there are no unused portions or any value to be refunded upon log-in credential deactivation. We reserve the right to deactivate your log-in credentials at any time for any reason without limitation.

Platform Content

Unless otherwise indicated, we own all content posted on the Platform (“Content”) and use of Content on the Platform is limited to your personal, noncommercial use. Because of this, you may not distribute any of the Content in whole or in part without our prior written authorization. For authorization, please email your request to contracts@climatereality.com and hace.sig@gmail.com.

Third Party Content

The Platform may contain links to third party providers and to content that is uploaded by organizations, including videos, images, descriptions, links and other content. We are not responsible or liable to these third party sites, and you should review any terms of use when entering those sites or viewing their content. We display certain content via the YouTube embedded player on the Platform. Any content that is provided via YouTube is subject to YouTube’s terms of use and license requirements. Please review their terms of use that apply for license and usage terms.

Posting Content

You represent and warrant that any material you post to the Platform, or otherwise share during the Event including without limitation during Zoom breakout sessions, does not infringe another party’s intellectual property rights or any applicable national or local law that may apply regarding the posting of material. You also agree that any material you post will not infringe any third party right -- including confidentiality, copyright, trademark, patent, right of publicity, or other intellectual property right. You agree to not slander, defame, libel, or invade the right of privacy or publicity of any third party. If you submit any material to the Platform (including without limitation, translations, questions, comments, or otherwise) you understand and agree that we may use it for any reason throughout the world without requirement for additional consent, including deleting it from the Platform. You grant us a worldwide, non-exclusive, royalty free, perpetual, non-revocable license for us to use the material you post to the Platform in whatever way we deem appropriate throughout the world in whole or in part, in any media platforms available now or developed in the future.

Prohibited Use

You agree that you will not use, and will not permit any other to use, the Platform to: (i) modify, disassemble, decompile, prepare derivative works of, reverse engineer, or otherwise attempt to gain access to the source code of the Platform; (ii) knowingly or negligently use the Platform in a way that abuses, interferes with, or disrupts our networks, your account, the Platform, or the Event; (iii) engage in activity that is illegal, fraudulent, false, or misleading, (iv) transmit through the Platform or the Zoom account provided to you for the Event any material that may infringe the intellectual property or other rights of third parties; (v) build or benchmark a competitive product or service, or copy any design, functions, or background images of the Platform; or (vi) use the Platform to communicate any message or material that is harassing, libelous, threatening, obscene, indecent, would violate the intellectual property rights of any party or is otherwise unlawful, that would give rise to civil liability, or that constitutes or encourages conduct that could constitute a criminal offense, under any applicable law or regulation; (vii) upload or transmit any software, content, or code that does or is intended to harm, disable, destroy, or adversely affect performance of the Platform in any way or which does or is intended to harm or extract information or data from other hardware, software, or networks of the Platform or other users of the Platform; (viii) engage in any activity or use the Platform in any manner that could damage, disable, overburden, impair, or otherwise interfere with or disrupt the Event or the Platform, or any servers or networks connected to the Platform’s security systems; (ix) use the Platform in violation of any of our policies or in a manner that violates applicable law, including but not limited to anti-spam, export control, privacy, and anti-terrorism laws and regulations, and laws requiring the consent of subjects of audio and video recordings, and you agree that you are solely responsible for compliance with all such laws and regulations.

Limitations on Use

You may not reproduce, resell, or distribute the Platform for any purpose unless you have been specifically permitted to do so under a separate agreement with Glinter. You may not offer or enable any third parties to use the Platform, display on any website, or otherwise publish the Platform or Event Content, or any Content obtained from the Platform (other than content created by you) or otherwise generate income from the Platform, or use the Platform for the development, production, or marketing of a service or product substantially similar to the Platform.

You may not use or publish the Event Content obtained from the Platform or from other sources (other than the content created by you) without entering into a sublicense agreement with either Climate Reality or HACE. You may request permission via email to Climate Reality at contracts@climatereality.com and to HACE at hace.sig@gmail.com. You may not generate income from the Event or Event Content.

No Warranties

All Content is made available AS IS and we do not offer any warranty of any kind, or represent that the Content will be accurate, complete, or error-free. We are not liable for the usage of, implementation of, impact from, or communication of the ideas presented in any Content.

Release and Indemnity

TO THE EXTENT PERMITTED BY APPLICABLE LAW, YOU AGREE TO RELEASE AND WAIVE ANY AND ALL CLAIMS AND/OR LIABILITY AGAINST US ARISING FROM CONNECTION WITH YOUR USE OF THE PLATFORM. YOU ALSO AGREE TO DEFEND, INDEMNIFY, AND HOLD US HARMLESS, OUR PARENT ORGANIZATIONS, OFFICERS, DIRECTORS, EMPLOYEES, AND THIRD PARTY LICENSORS, FROM AND AGAINST ANY AND ALL CLAIMS, DAMAGES, OBLIGATIONS, LOSSES, LIABILITIES, (INCLUDING BUT NOT LIMITED TO ATTORNEY'S FEES) ARISING FROM: (I) YOUR USE OF AND ACCESS TO THE PLATFORM; (II) YOUR VIOLATION OF ANY TERM OF THESE TERMS OF USE; AND (III) YOUR VIOLATION OF ANY THIRD PARTY RIGHT, INCLUDING WITHOUT LIMITATION ANY COPYRIGHT, PROPERTY, OR PRIVACY RIGHT.

Limitation of Liability

UNDER NO CIRCUMSTANCES, INCLUDING NEGLIGENCE, SHALL WE OR OUR PARENT ORGANIZATIONS, OFFICERS, DIRECTORS, EMPLOYEES, PARTNERS, OR LICENSORS BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES THAT MAY RESULT FROM THE ACCESS OF, USE OR INABILITY TO USE PLATFORM CONTENT, INCLUDING WITHOUT LIMITATION, USE OF OR RELIANCE ON INFORMATION, INTERRUPTIONS, ERRORS, DEFECTS, MISTAKES, OMISSIONS, DELETIONS OF FILES, DELAYS IN OPERATION OR TRANSMISSION, NON-DELIVERY OF INFORMATION, DISCLOSURE OF COMMUNICATIONS, OR ANY OTHER FAILURE OF PERFORMANCE.

Entire Agreement

These Terms of Use constitute the entire agreement between yourself and us, governed by the laws of the District of Columbia without regard to its conflict of laws principles. You agree to submit to the personal jurisdiction of the courts located within the District of Columbia. Any headings or summaries provided on this page are used for reference purposes only and do not serve any legal effect. By accessing the Platform and Content, you agree to be bound by the terms and conditions herein.
